Welcome to Aabir Web Studio ("Company", "we", "our", or "us"). By accessing our website at https://aabirwebstudio.in/, commissioning custom web development, mobile app engineering, UI/UX design, digital marketing, or AI automation solutions, you ("Client" or "User") agree to be bound by these Terms & Conditions.

If you are entering into this agreement on behalf of a company or legal entity, you represent that you have full authority to bind such entity to these terms.

Aabir Web Studio provides professional IT, digital engineering, and growth services including but not limited to:

• Web Development & Design: Custom frontend/backend development, CMS integration, e-commerce stores, and progressive web apps.
• Mobile Application Engineering: Native and cross-platform mobile application development for iOS and Android.
• SEO & Performance Marketing: On-page, technical SEO, content marketing, local map pack optimization, and paid ad management.
• Branding & UI/UX Design: Identity systems, wireframing, interactive prototyping, and design system creation.
• AI & Automation: Chatbots, workflow automation, and custom API integrations.

Specific project scope, deliverables, acceptance criteria, and milestones will be defined in the individual proposal or SOW issued to the Client prior to commencement.

To ensure project deadlines are met, the Client agrees to:

• Provide Materials: Supply high-resolution logos, brand guidelines, text copy, images, and necessary API credentials in a timely manner.
• Provide Feedback: Designate a single point of contact responsible for reviewing deliverables and providing consolidated feedback within 3 to 5 business days of submission.
• Compliance & Rights: Warrant that all materials, trademarks, and text provided to us do not infringe upon any third-party intellectual property or copyright laws.

Our payment terms are structured to maintain transparent and predictable milestones:

• Initial Deposit: A non-refundable initial deposit (typically 30% to 50% of the project estimate) is required prior to project kickoff.
• Milestone Payments: Remaining payments are invoiced upon completion of agreed milestone stages (e.g., Design Approval, Development Alpha, Final Launch).
• Payment Windows: Invoices are payable within 7 calendar days of issuance. Late payments beyond 15 days may incur a 1.5% monthly fee or project work suspension until accounts are settled.
• Taxes: All fees quoted are exclusive of applicable GST or local statutory taxes unless explicitly stated otherwise.

Code & Asset Transfer: Upon receipt of final payment in full, Aabir Web Studio assigns and transfers full ownership rights of the custom frontend designs, final graphics, and client-specific code created specifically for the project to the Client.

Pre-existing Frameworks: Aabir Web Studio retains ownership of pre-existing software libraries, reusable code components, boilerplates, open-source frameworks, and proprietary dev tools incorporated into the work. The Client is granted a non-exclusive, perpetual, royalty-free license to use these embedded components solely within the scope of the completed project.

Portfolio Display: Unless requested otherwise via a executed Non-Disclosure Agreement (NDA), Aabir Web Studio reserves the right to display the completed work, project metrics, and client branding in our portfolio, case studies, and marketing channels.

Revisions: Unless stated otherwise in the SOW, project quotes include up to 2 rounds of design/structural revisions during the design phase. Additional revisions or major structural overhauls after design sign-off will be billed at our standard hourly rates.

Scope Additions (Change Orders): Requests for new features, extra pages, or structural shifts not covered in the original SOW will be documented as a Change Order with an adjusted fee estimate and extended timeline.

Project Delays: Estimated completion timelines assume timely client feedback. Delays in receiving client assets or feedback exceeding 14 calendar days will pause the project schedule accordingly.

30-Day Warranty: We provide a complimentary 30-day post-launch warranty covering any technical bugs, layout glitches, or code errors directly related to the delivered scope of work, starting from the official deployment date.

Exclusions: The warranty does not cover issues resulting from third-party server outages, unauthorized modifications made to the source code by the Client or third-party developers, browser updates released post-launch, or third-party API deprecation.

Ongoing maintenance, security patching, and server updates after the 30-day warranty window require a separate monthly maintenance agreement.

To the maximum extent permitted by applicable law, Aabir Web Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business interruption, or reputation, arising out of or in connection with our services or website.

In any event, the aggregate liability of Aabir Web Studio for any claims arising under these Terms or any SOW shall be strictly capped at the total amount actually paid by the Client to us for the specific project giving rise to the claim in the preceding 6-month period.

Termination for Convenience: Either party may terminate a project agreement by providing 14 calendar days written notice.

Payment Upon Termination: In the event of early termination, the Client shall pay for all work completed, hours logged, and non-cancellable third-party commitments incurred up to the effective termination date. Deposits paid remain non-refundable to cover initial project allocation costs.

These Terms & Conditions and any agreements entered into with Aabir Web Studio shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to our services shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the competent courts located in Dibrugarh, Assam, India.
